The Board of Directors of Vinte has the primary responsibility for managing and overseeing the administration of the Company and its operations, as well as to formulate and approve all its policies. The activities of the Board of Directors are governed by the Company’s By-laws and applicable legislation that describe the responsibility and duties of the Board, including the duties of diligence and loyalty established by the Ley del Mercado de Valores (Securities Market Law).

The duties of diligence and loyalty imply, first of all, that the members of the Board of Directors should always act in good faith and in the best interest of the Company, and finally, members should perform their duties and decision-making processes without conflicts of interest, maintain confidentiality of information, avoid revealing false or deceptive information and not omit relevant information in corporate records or to the Board of Directors.

The appointing or election of members of the Board of Directors shall be carried out by the Ordinary General Shareholders' Meeting or a special shareholders meeting, as the case may be, with the positive vote of the majority of the voting shareholders present in the corresponding meeting.

The Company’s Board of Directors is comprised of its main officers and three three independent directors with experience in widely recognized companies, such as Cemex and Coca-Cola Femsa, for a total of 9 Directors, who were ratified at the general shareholders' meeting held on April 28th, 2022.

Chairman, Executive President, Co-Founder of Vinte

Before co-founding and initiating the Company's operation in 2001, Mr. Leal worked 13 years at Urbi. He is an Architect graduated from Universidad Autónoma de Baja California and has a specialty in Finance from Universidad Anáhuac. He has served as an Honorary Vice-President of the Cámara Nacional de la Vivienda del Estado de México (National Housing Chamber of the State of Mexico) and a member of the Advisory Board of Grupo Financiero Banamex, and has 23 years of experience in the real estate sector.

Main Functions

Responsible for monitoring, executing and supervising the strategic decisions taken by the Board of Directors, as well as the Company's growth projects and public relations. In addition, Mr. Leal identifies and creates opportunities for the development of new businesses.

Chief Executive Officer, Member of the Board of Directors, Co-Founder of Vinte

Before co-founding and initiating Vinte’s operation in 2001, he worked 15 years at Urbi, becoming the Director of Mexico City and the Metropolitan Area. Mr. Jaime has over 25 years of experience in the Mexican housing sector, backed by a deep understanding of the commercial, administrative and financial planning aspects of the business.

Main Functions

Responsible for all the different housing developments of the Company, ensuring the achievement of short-, medium- and long-term indicators of sales, expenses, costs and expected profits. Additionally, he is responsible for corporate management, planning and management of operational risks.

Chief Financial Officer, Member of the Board of Directors

Mr. Valdés holds a degree in Economics from the Instituto Tecnológico y de Estudios Superiores de Monterrey (ITESM); has an MBA from the same institute and an MBA with a specialty in Finance from the University of Chicago. Previously, he worked for Cemex and Grupo Financiero Bancomer. He also served as a consultant at global firms such as McKinsey & Co. and Mercer Oliver Wyman where he developed strategy and finance projects. He has 10 years of experience in the real estate sector and 12 years in the areas of planning and finance in multinational companies.

Main Functions

Responsible for designing, structuring, negotiating, closing and managing the Company's financing, both traditional schemes and corporate debt and equity financing strategies, thus securing sufficient resources to cover the Company’s liquidity requirements. Additionally, Mr. Valdés is responsible for the development of strategies designed to strengthen the Company's financial structure, minimizing financial risks and maximizing the value of the Company.

Director of Production, Member of the Board of Directors, Co-Founder of Vinte

Before co-founding and initiating the Company's operation in 2001, Mr. Zúñiga worked in Urbi for 7 years where he was responsible for the construction of 7,500 homes in Mexico City and the Metropolitan Area. Additionally, he became the manager of the Cuautitlán Izcalli Development at the same Company. Mr. Zúñiga has over 30 years of experience in the development of engineering projects, 12 of them in infrastructure and 18 years in housing.

Main Functions

Responsible for defining and supervising the Company's construction processes, regarding materials and suppliers, ensuring that the quality, cost and time standards are met for each of the construction areas in the different housing developments and products.

Director of Design, Research and Innovation, Member of the Board of Directors, Co-Founder of Vinte

Before co-founding the Company, Mr. Soto worked for 12 years in Urbi's Corporate Department of Design and Urban Planning. He is an Architect graduated from the Universidad Autónoma de Baja California. He also has a specialization in Restoration of Monuments and Historic Sites from the Universidad de Guanajuato. He is currently a member of the Advisory Council of the Código de Edificación de Vivienda (Housing Building Code) and of the Innovation Council of the Comisión Nacional de Vivienda (National Housing Commission). Additionally, he is Vinte' legal representative before the Registro Nacional de Instituciones y Empresas Científicas y Tecnológicas (National Registry of Institutions and Businesses in Science and Technology) of the Consejo Nacional de Ciencia y Tecnología (National Council of Science and Technology).

Main Functions

Responsible for the design process of new housing developments and its respective programs, from its regional environment to the description of it, developing a project that complies with all applicable municipal and state regulations.

Director of Institutional Relations, Member of the Board of Directors, Co-Founder of Vinte

Mr. Cadena holds a degree in Administration from the Instituto Tecnológico Autónomo de México, having completed an academic exchange program in corporate and stock-exchange finance at Harvard University. He served as Secretary of the Board of Directors of Carson and Brasch, S.A. de C.V., where he acted in the last twelve years as Chief Financial and Administrative Officer of the Consulting Group, Finance Director of the Exchange Centre and Chief Financial and Administrative Officer. Carson and Brasch, S.A. de C.V. subsequently merged with other financial institutions to form CI Banco.

Main Functions

Develop plans, programs and procedures designed to strengthen the Company's relations with the community, companies, public and private organizations. As well as promoting the upkeep of the management of institutional agreements with public and private organizations at local, national and international levels.

Secretary (Non-Member of the Board of Directors)

Luis Octavio Núñez Orellana has co-directed the Mexican firm Kuri Breña, Sánchez Ugarte y Aznar, S.C. for a year and a half. With him we take on the conversation about the issues that concern those who run the law firms in the region.

Recently he had the opportunity to attend the Spring International Conference in Barcelona to exchange experiences on new forms of management. The creativity that is generated with cooperation and teamwork was one of the issues that focused this discussion.

Independent Director of Vinte, partner of the fund manager "MRP"

Victor M. Barreiro is partner of the fund manager "MRP" since 2009, where he mainly focuses on real estate investments. After serving as Vice President of Development and Operations, he was appointed as Chief Executive Officer in 2017. He is also a founding partner of MxO, a private equity fund established in 2018. Victor's experienced career includes holding various executive positions, such as Residential Director of GICSA and Deputy Chief Executive Officer of Desarrolladora Metropolitana. He was also the partner and Chief Operating Officer of Tolver, where he developed and operated Burger King franchises. In addition to his professional career, Victor served as a mentor in the Endeavor organization. He holds a degree in Business Administration from Universidad Anáhuac and postgraduate studies at IPADE.

Independent Director of Vinte, Chief Legal Officer of Cemex

Chief Legal Officer of Cemex, S.A.B. de C.V. since joining Cemex in 1987. Mr. Villareal also holds the position of Secretary of the Board of Cemex since 1995. Before joining Cemex, he served as Assistant Director-General of Grupo Financiero Banpaís. He serves as a Director of Grupo Acosta Verde and an alternate director of Cementos Chihuahua and Axtel. Until February 2012, he acted as secretary of the Board of Directors at the Instituto Tecnológico y de Estudios Superiores de Monterrey. Mr. Villarreal graduated from the Universidad Autónoma Nuevo León where he obtained his Degree in Law and also received a Master's Degree in Finance from the University of Wisconsin.

Independent Director of Vinte, Corporate Advisor of Companies Such as Minsa, AT&T, Compartamos Banco, and FEMSA

Expert consultant in projects related to the strategy of clients and operations. He has experience in providing consultancy services in management and execution of planning, commercial development, strategy and operation with a number of companies such as Minsa, AT&T, Xignux, CCM, Campbell's, AAK, Emyco, Farmacias del Ahorro, Gamesa, TSTT, Cofiasa, Barilla, Red Plus, Coca-Cola Femsa, TFM, GFM, Hospital San José, Compartamos Banco, FEMSA, among others. Mr. Oropeza serves as a member of the Company's Planning Committee since 2011 and has been chairman of the Audit and Corporate Practices Committees since 2016.
